1. Acceptance of Terms
These Terms of Service ("Terms") govern the access and use of the Domus CRM application (hereinafter "the Application"), a proprietary internal management tool owned and operated by DOMUS VALLARTA INMOBILIARIA, S.A. DE C.V. (hereinafter DVI), located at KM 3.7 Carretera Punta Mita, Interior 21-1, Condominio Real del Mar, La Cruz de Huanacaxtle, 63732, Bahía de Banderas, Nayarit, Mexico.
By accessing or using the Application, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Application.
2. Description of the Application
Domus CRM is an internal real estate management platform designed exclusively for the authorized personnel of DVI. Its main features include:
- Client and prospect relationship management (CRM)
- Lead tracking and follow-up
- Real estate listing and development management
- Task and reminder management with optional Google Calendar synchronization
- Time clock and attendance tracking
- Agent, office, agency, and referrer management
- Notifications, internal comments, and activity log
- Generation of PDF reports and shareable listing links
The Application is intended for internal business use only and is not available to the general public.
3. User Accounts and Access
Access to the Application is restricted to employees and authorized staff of DVI. User accounts are created and managed exclusively by system administrators — there is no self-registration option. By being granted access, you agree to:
- Keep your credentials (email and password) strictly confidential.
- Not share your account with any other person under any circumstances.
- Notify the system administrator immediately if you suspect unauthorized access to your account.
- Use the Application only for the professional purposes for which access was granted.
DVI reserves the right to suspend or permanently revoke access to any account at any time, without prior notice, if these Terms are violated or if the employment or professional relationship with the user ends.
4. Authorized Use
The Application may only be used for legitimate internal business purposes of DVI, including client management, real estate operations, internal communications, and task organization. Any use beyond these purposes requires explicit written authorization from DVI management.
5. Prohibited Use
Users are strictly prohibited from:
- Using the Application for any purpose unrelated to their duties at DVI.
- Accessing, downloading, copying, or transmitting client or business data for personal use or to benefit third parties.
- Attempting to gain unauthorized access to other users' accounts or restricted areas of the Application.
- Introducing malicious code, viruses, or any element that may damage or compromise the Application or its data.
- Attempting to reverse-engineer, decompile, or reproduce the Application's source code.
- Using automated tools (bots, scrapers, scripts) to interact with the Application without prior written authorization.
- Disclosing confidential business information, client data, or internal records to unauthorized parties.
Violation of any of the above may result in immediate account suspension and, where applicable, legal action under Mexican law.
6. Google Calendar Integration
The Application offers an optional integration with Google Calendar that allows users to synchronize their CRM tasks with their personal Google Calendar. This feature is governed by the following conditions:
- Voluntary opt-in: connecting a Google account is entirely optional. The Application functions fully without it.
- Scope of access: the Application only requests access to read and write events on the specific Google Calendar the user selects. No other Google services, emails, contacts, or files are accessed.
- Purpose limitation: Google Calendar data is used exclusively to synchronize calendar events with CRM tasks. It is never used for advertising, profiling, analytics beyond the synchronization feature, or shared with any third party.
- Token storage: OAuth tokens are stored encrypted on DVI's servers and are never exposed to other users or third parties.
- Disconnection: users may disconnect their Google account at any time from the Calendar section of the Application, which will immediately stop synchronization and delete all stored tokens.
- Compliance: the Application's use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements.
7. Confidentiality
All information accessible through the Application — including client records, property data, internal notes, financial figures, and user data — is strictly confidential. Users acknowledge that this information constitutes a business asset of DVI and must not be disclosed, shared, copied, or used outside the scope of their duties, during or after their professional relationship with DVI.
8. Intellectual Property
The Application, including its source code, design, functionality, trademarks, and all content generated by DVI, is the exclusive property of DVI and is protected under applicable Mexican and international intellectual property laws. Users are granted a limited, non-exclusive, non-transferable license to use the Application solely for the internal business purposes described in these Terms. No rights other than those expressly stated herein are granted.
9. Availability and Support
DVI will make reasonable efforts to maintain the Application available and functional. However, DVI does not guarantee uninterrupted, error-free access and is not liable for any damages resulting from temporary unavailability due to maintenance, technical failures, or causes beyond its control (including third-party service outages such as hosting providers or Google's services). Technical support is provided by DVI's technology team on a best-effort basis and may be requested at sistemas@domusvallarta.com.
10. Limitation of Liability
To the maximum extent permitted by applicable law, DVI shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Application, including loss of data, business interruption, or loss of profits. DVI's total liability for any claim arising from these Terms shall not exceed the value of the professional relationship between DVI and the user at the time of the claim.
11. Suspension and Termination
DVI reserves the right to suspend or terminate any user's access to the Application at any time, with or without prior notice, in the following circumstances: violation of these Terms, end of the employment or professional relationship, inactivity for an extended period, or for any other legitimate business reason. Upon termination, the user must immediately cease all use of the Application and may not retain any copies of data accessed through it.
12. Changes to These Terms
DVI may update these Terms at any time. Users will be notified of significant changes via email or through a notice within the Application. Continued use of the Application after such notification constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Mexican States and, where applicable, the laws of the State of Nayarit. Any disputes arising from or related to these Terms shall be submitted to the competent courts of Bahía de Banderas, Nayarit, with both parties expressly waiving any other jurisdiction to which they may be entitled by reason of their present or future domicile.
